Terms of Service

These Terms of Service ("Terms") govern your access to and use of EdgarKit ("EdgarKit," "we," "us," or "our"), a developer API operated by Mathew Arena doing business as EdgarKit. By creating an account or using the EdgarKit API, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
EdgarKit provides a JSON API and webhook system for accessing public filings from the U.S. Securities and Exchange Commission's EDGAR system, including Forms 3, 4, and 5 (insider trading reports). All filings data is sourced from publicly available SEC records.
EdgarKit is a developer tool, not financial advice. Nothing delivered by the Service constitutes investment, legal, tax, or financial advice. You are solely responsible for any decisions you make using the data.
2. Accounts and API Keys
- You must provide a valid email address to create an account.
- Your API key is confidential. You are responsible for any usage attributed to your key.
- Do not share your API key publicly (e.g., committing it to a public Git repository).
- If your key is compromised, contact us immediately to rotate it.
- One account per individual or organization. Sharing or reselling API access without permission is prohibited.
3. Pricing and Billing
- Plans and pricing are listed at edgarkit.com/#pricing.
- Paid subscriptions are billed monthly in advance via Stripe.
- All fees are in USD and are non-refundable except as required by law or at our sole discretion.
- You may cancel at any time via the Stripe customer portal. Cancellations take effect at the end of your current billing period.
- We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
- If a charge fails, your access may be downgraded to the free tier or suspended until payment is resolved.
4. Acceptable Use
You agree not to:
- Exceed your plan's rate limits or call quota through circumvention (e.g., using multiple keys).
- Resell, redistribute, or sublicense bulk EdgarKit data without a separate written agreement.
- Use the Service to harass, defame, or otherwise harm individuals named in filings.
- Attempt to disrupt the Service, including denial-of-service attacks, vulnerability probing without authorization, or scraping the Service to bypass billing.
- Use the Service in violation of any applicable law, including U.S. securities, sanctions, or export control laws.
We reserve the right to suspend or terminate accounts that violate this section, with or without notice, at our sole discretion.
5. Data Sources and Accuracy
EdgarKit reads from SEC EDGAR and parses filings into JSON. While we work hard to ensure data accuracy and freshness, we make no warranty that the data is complete, correct, or delivered in a timely manner. SEC filings themselves may contain errors or amendments. You should verify any critical data against the original filings at sec.gov/edgar.
6. Service Availability
We aim for high availability but do not guarantee uninterrupted service. The Service is provided "as is" and "as available." Scheduled maintenance, upstream SEC outages, or unforeseen events may cause downtime.
7. Intellectual Property
SEC EDGAR filings themselves are U.S. government public-domain records and are not owned by EdgarKit. Our software, documentation, design, and branding are owned by Mathew Arena dba EdgarKit. You retain ownership of any data you submit to the Service (e.g., webhook configurations).
We grant you a non-exclusive, non-transferable license to use the Service for your internal business or personal projects during your paid subscription.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGARKIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR TRADING LOSSES.
10. Indemnification
You agree to indemnify and hold harmless Mathew Arena dba EdgarKit from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
11. Termination
You may cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or for any reason with 30 days' notice for paid customers (immediate for free-tier or violations). Upon termination, your access ends but our rights and your obligations under Sections 7-10 survive.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be announced by email or on the website. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in New York County, New York.
